1. The Seller and Acceptance of These Terms
CWS Dictate (the "Service") is operated by Cornerstone Welfare Solutions by S. Edsall (the "Seller", "we", "us"). By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms & Conditions. You are contracting directly with Cornerstone Welfare Solutions by S. Edsall. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization; otherwise you confirm you are of legal age to enter into this agreement.
2. Description of the Service
The Service is a documentation drafting aid that transforms raw notes, transcripts, and images of handwritten notes into polished, objective, third-person written reports using artificial intelligence. The Service is a drafting aid only: generated reports may contain errors or omissions and must be reviewed and verified by you before any professional use.
3. Acceptable Use and Misuse
You must not misuse the Service. You agree not to:
- Use the Service for any unlawful purpose, fraud, or spam.
- Infringe the intellectual property or privacy rights of others.
- Interfere with the security or operation of the Service, including introducing malware, probing, scanning, or scraping the Service.
- Reverse engineer, resell, redistribute, or circumvent technical limits of the Service.
- Input, upload, transmit, or record any Protected Health Information (PHI), patient records, clinical notes, or any data governed by medical privacy laws. The Service is not a medical device and is not HIPAA-compliant; it is intended for general business, personal, and professional dictation use only.
- Use the Service to generate content that is illegal, defamatory, hateful, deceptive, or intended to mislead.
You are responsible for the content you input, for how you use the generated output, for verifying its accuracy, and for ensuring you have the rights to any content you submit. We may remove or restrict content, refuse or filter outputs, and suspend accounts that violate these rules. If you believe content generated or processed through the Service infringes your rights, contact us at support@cwsdictate.com and we will review and address the complaint; repeated infringement by a user may result in termination.
4. Intellectual Property
The Seller retains all ownership of the Service and its intellectual property, including the software, documentation, design, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within the limits of your selected plan. You retain ownership of the content you submit; you grant us a limited license to host and process that content solely to provide the Service to you. Subject to your plan and these Terms, the reports generated from your inputs are yours to use.
5. Accounts and Accuracy
You must provide accurate information, keep it updated, maintain the confidentiality of your account credentials and any multi-factor authentication methods, and you are responsible for all activity under your account.
6. Payments, Subscriptions, and Refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Subscriptions renew automatically at the billing frequency selected at checkout (monthly or annual) until cancelled. Plan changes take effect immediately, and cancellations take effect at the end of the current paid billing period. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms (paddle.com/legal/checkout-buyer-terms). Please also see our Refund Policy.
7. Service Level and Disclaimers
The Service is provided "as is" and "as available". We do not guarantee uninterrupted, timely, or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. AI-generated output may be inaccurate and is not a substitute for professional judgment or for advice in regulated professions without appropriate oversight.
8. Limitation of Liability
To the fullest extent permitted by law, we exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Our aggregate liability to you is capped at the fees you paid for the Service in the twelve (12) months preceding the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is not permitted by law.
9. Indemnity
You agree to indemnify, defend, and hold harmless the Seller from any claims, fines, damages, or expenses (including reasonable legal fees) arising from content you submit, your unlawful use of the Service, your violation of these Terms, or your use of the Service for healthcare or patient-related data in violation of Section 3.
10. Suspension and Termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your access ends; you may request an export of your saved dictations for 30 days after termination, after which your data may be deleted.
11. General
These Terms are governed by the laws of the State of South Carolina, USA, without regard to conflict-of-law rules, and disputes will be resolved in the courts of that jurisdiction unless otherwise required by law. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. If any provision is found unenforceable, the remainder stays in effect.
